Terms and Conditions
Please read these Terms and Conditions carefully as they will form a contract between us and you; acceptance of which is acknowledged from the moment you sign our Hosting Contract, Website Design Contract, Website Development Contract, SEO Contract or Support Contract.
We have tried to keep these Terms and Conditions as short, easy to understand and simple as possible. However, if you have any questions, please do not hesitate to contact us.
Glossary:
1. You (‘the Client’)
2. We (Startupvale.com, hereinafter referred to as ‘the Company’)
3. Project – the work that is being carried out, usually consisting of a number of tasks
What do both parties agree on?
The Client agrees to the following:
1. Provide the Company with all information required from you to complete the project, including text, images and other information, within a reasonable timeframe.
2. Provide the Company with text and images in the format below (see photos and illustrations)
3. Review, provide feedback and approval of the Company’s work in a timely manner.
4. Make every effort to meet all agreed deadlines.
5. Adhere to the payment schedule set out on our pricing page or agreed separately for specific work.
6. Inform the Company in advance by email, in writing or verbally of any confidential information to be presented between the two parties. Also, clearly mark it as ‘confidential’ in the subject line of the email or on any written document.
7. If you wish to cancel a contract, give notice in writing or by email at least one month in advance.
The Company agrees to:
1. Provide the Services in a professional and timely manner.
2. Make every effort to adhere to any deadlines agreed between us and you.
3. Make a reasonable number of revisions to design, layout, colours etc. until you are satisfied with the design concept or until both parties feel that agreement is likely to be reached, but no more than 2 major revisions. Additional revisions or design work outside the scope of the project will be charged separately.
4. Where possible, try to complete requested website revisions or updates within 48 hours. Revision entitlement per month depends on your support package – see our pricing page.
5. Maintain up to date skills and knowledge through regular training and research.
6. Contact you before the end of the first 12 month period to discuss the various options available to you for ongoing website maintenance, support and/or hosting.
WEBSITE DESIGN:
1. All websites are primarily developed to work on all major browsers and platforms, including mobile phones and other devices such as touchpads. However, the Company cannot guarantee full and/or long-term compatibility on all major browsers, platforms or handheld devices due to updates/upgrades performed by their respective vendors.
2. The Company cannot guarantee compatibility with outdated or obsolete browser software.
SEO:
1. Startupvale.com cannot take responsibility for any damages arising from the use of any software developed for the Client. Although every care has been taken to ensure that the products are trouble-free and accurate, it is the Client’s ultimate responsibility to ensure that all software is functioning correctly before use.
2. Where applications or sites are developed on servers not provided by Startupvale.com, the Client is expected to provide or obtain any information, additional software, support or cooperation relating to the server necessary for the correct development of the application. Where large applications are to be developed, it is the Client’s responsibility to provide a suitable test environment which is similar to the final production environment.
3. The Client is expected to thoroughly test any applications or programming relating to any site developed by Startupvale.com before making it generally available for use. Where “bugs”, errors or other issues are found after the site is live, Startupvale.com will attempt to correct these issues (but is not obliged to do so) so that the work is up to the standards outlined in the brief.
o Startupvale.com will provide some suggestions at the end of the gap analysis phase. All suggestions must be incorporated in order to be indexed.
o If this service involves development work in excess of 40 man hours, Startupvale.com will bill the Client on a time and materials basis.
o Startupvale.com will require FTP access to the Client’s current site.
o Search Engine Optimisation will refer to organic growth only and will take a minimum of 4-6 weeks to implement.
o If the Client wishes, Search Engine Marketing will bring more immediate results. This is a completely separate activity from SEO and is not related to the sub-activities associated with SEO.
o Startupvale.com does not guarantee immediate results or top rankings in less than 6 months.
o Only if all of Startupvale.com’s recommendations are accepted will the SEO activities have a positive effect. Not following even some of them will mean no proper indexing and Startupvale.com will not be responsible if this happens.
o Service tax, if any, will be extra.
o 60 days advance notice is required to terminate the contract.
o Payment Terms
o Invoices will be issued based on the agreed payment schedules mentioned earlier.
o All payments are to be made at the beginning of every month.
o In order to complete the work on time, it is important that the Company receives any requested information (material) within 3-4 business days.
o It is important that the Company has FTP access to your hosting server and is ready to resolve any server issues immediately.
o It is important that the company has access to any web statistics software for your website, your Google campaigns, etc.
o We cannot guarantee a certain number of hits per day, but we are confident that you will see a dramatic increase in your online marketing efforts, but you must be patient, results do not come the day after the website is completed.
o Timely payment is mandatory.
o If the project is in progress and then cancelled, the amount paid till that time will not be refunded.
o This project does not involve any web application or web scripting, these will have to be discussed separately if you wish to receive these services.
o Force majeure: As applicable to the software industry.
o The above costs do not include travel, food and accommodation costs that may occur during the system study, design and implementation phases. These costs will be recovered from the client based on actual expenses, if any.
o These costs do not include hardware costs and the cost of backend databases/software to be purchased to aid in development.
o The cost of this project will include Startupvale.com services for 6 months from the start date. After that, you can continue to improve or end your online marketing program through My Services at the rate determined at that time. The website will start producing results within 5-6 months of finalization and full results will not be achieved for 6-9 months.
Payment and Contract Term:
1. All payment schedules are available on our pricing page or will be set out separately for specific tasks.
2. If the Client cancels the website contract after design concepts have been agreed but before the website is live, the Company reserves the right to charge up to 85% of the total web development cost. The amount of the fee will depend on what stage the project is at at the time of cancellation.
3. Cancelling your standing order early during the first 12 months after the site goes live will be considered a breach of contract. In this case, you will be required to immediately pay the balance of the contract, plus an admin fee (the admin fee includes time spent tracking the cancellation, generating and posting an invoice).
4. It is entirely the Client’s responsibility to make changes to standing order mandates to reflect new or changed contracts. Overpayments made to the Company as a result of not updating the standing order mandate will not be reimbursed to the Client. However, underpayments or missed payments will be back-dated to the time when the underpayment or missed payment was discovered and the Client will be responsible for bringing their account up to date within a reasonable time period.
5. Contract terms are normally 12 months, unless otherwise agreed between the Client and the Company. The Company is required to give at least 30 days notice to cancel a support or hosting contract.
Photographs and Images:
1. Any images or photographs you provide must be in digital format, normally no smaller than 1024×768 pixels, and of a suitable resolution so they can be resized and used on screen. Traditional paper photographs requiring scanning are acceptable, however, additional costs may be incurred due to the time taken to scan and re-edit the images. This is entirely dependent on the project and the number of images involved.
2. Any images the Company obtains from a third-party photographer or stock photography will be charged at an additional cost.
3. The Client warrants that any elements of text, graphics, photos, designs, trademarks or other artwork provided to the Company for inclusion in their website or other designs are owned by the Client, or that the Client has permission from the lawful owner to use each of these elements, and will indemnify, defend and hold the Company and its sub-contractors harmless from any liability (including attorneys’ fees and court costs) arising from the use of such elements provided by the Client, including any claim or suit, threatened or actual.
4. Evidence of ownership or permission may be requested by the Company.
Copyright:
1. After the initial 12 month period, copyright is automatically assigned as follows:
2. The Client will own, or have explicit permission to use, the text files, images, graphics and any visual elements, videos or soundbytes that you may have sent to us for use in connection with the project.
3. The Company will retain copies of all files used in connection with your project and if you require a disk copy of all files used in connection with your project, the Company will be happy to provide this to you. Copies of the website files are retained by us for a reasonable period of time (usually at least one year), and if you are hosting with us, the files are held both locally and on an external server.
4. The copyright to the markup, CSS files, other code that we may have used for you or certain images that the Company may have provided to you or for you in connection with this web design project is licensed to you, and will only be licensed to the domain name on which the website files are located. If you own the domain name, the copyright also belongs to you.
5. Once payment is complete, the bottom of the page(s) of the website will usually have the copyright and your business or company name written on it. However, being the company responsible for the design and/or development, the Company reserves the right to insert a small and unobtrusive link at the bottom of your website, so as not to disturb or interrupt the design of your website.
6. Being a design company, the Company also reserves the right to display and link to your completed project as part of its portfolio, and to write about the project in other websites, magazine or e-magazine articles, books, written or digital publications of any design and source. If you do not want us to include your site in our portfolio of work, please notify us before the website goes live.
Hosting:
To ensure a high level of reliability and performance, all our clients’ websites are hosted on a high speed, state-of-the-art managed dedicated server, utilising a guaranteed minimum uptime service availability level of 99.95%. Details of the exact specifications of our servers are available to all our clients free of charge and will be provided on request.
Liability:
If the client is late in supplying content, or does not approve or sign off the work at any stage, the Company will not be liable for any missed launch dates or deadlines.
Privacy:
The Company complies with all national and EU data protection, data transfer, data retention and privacy regulations and always stores data sent to us in a secure manner in accordance with our security policy.
General:
1. Unless a specific agreement has been made in advance, no website will be launched until a standing order or BACS payment has been arranged.
2. Additional features and/or additional design costs not included in our standard packages will be subject to agreement and invoiced before the website goes live. See for a list of charges.
3. If the Client does not respond to the Company’s request to discuss or choose ongoing support options, the Client will be automatically entered into the package the Company considers most suitable.
4. A small admin fee will be payable to the Client for switching to another hosting provider.
5. Clients who do hosting only will be charged our normal hourly rate for any additional changes or updates to their website.
6. Any design changes requested after the initial agreed design has been signed off may incur an additional charge.
7. The Company is not responsible for writing or inputting any text copy, unless specified by the Client.
8. If you are hosting the website elsewhere, the Company cannot guarantee that the website is fully compatible with all hosting providers server operating systems, particularly any contact forms, database driven websites etc.
9. If the website is to be hosted elsewhere, you will still have to pay the agreed monthly fee.
10. The Company does not provide any technical support for any other website hosting company you choose (if you choose not to host the website with us).
11. The Company cannot guarantee that the functions contained in any web page (or any part of your website design) will always be error free, and therefore the Company will not be liable to you in any way for any third party damages, including loss of profits, loss of savings, or other incidental, consequential or special damages arising out of the operation of or inability to operate this website and any other web pages, even if you have informed us of the possibility of such damages.
12. If any provision of this Agreement is found to be unlawful, invalid or for any reason unenforceable, that provision will be deemed severed from this Agreement and will not affect the validity and enforceability of any remaining provisions. As a penalty, you may not transfer this Agreement to anyone else without our consent or permission.
13. This Agreement will remain in force and does not need to be renewed.
14. Although the Company has attempted to keep the language of this Agreement simple, its objectives are serious, and this Agreement is a legal document subject to the law and the exclusive jurisdiction of the courts.
Changes to these Terms and Conditions:
Startupvale.com reserves the right to add, delete or modify any provision of these Terms and Conditions at any time without notice. Lack of notice of a change does not mean that those changes are invalid.
Payment for Services
Payment: At the beginning of the process of developing your company website, you will have to pay us 50% of the total development cost, the remaining 50% amount will be paid on completion of the website. We will start the development work after receiving the initial payment.
Payment Gateway
We are using payment gateway. Customers can use their credit card, debit card, internet banking. Online or invoice based payment option is available.
Service Charges.
As per Government of India rules, certain payments are subject to service tax. The Customer will be notified of such payments by mail.
Online Payments
Payment of all invoices sent to Startupvale.com using online payment facilities is subject to the following terms.
1. When you fill in the online payment form, funds will be deducted from your card or debit card account in the currency chosen.
2. Due to processing of transactions by external banking sites, there may be a delay of 1-3 days in updating your payment in Startupvale.com’s records.
3. Payments are credited to Startupvale.com’s bank account.
4. Online payments are secure:
o Payments will be processed directly by the payment gateway.
o Credit card numbers are protected with a high level of encryption.
o Startupvale.com does not have access to your credit card details.
5. Confirmation:
o If successful, we will confirm that your payment has been completed.
o If unsuccessful, we will notify you that your payment has failed. Startupvale.com will not be told the reason for a payment failure, so you should contact your bank.
If your payment fails, please use one of the other payment methods described on your invoice to pay your invoice. Please arrange an alternative payment method immediately to ensure continued use of Startupvale.com services and internet resources.
6. Startupvale.com will confirm your payment details via email.
7. By using Startupvale.com’s online payment facilities, you agree to all applicable policies of Startupvale.com relating to your internet resources.
8. All information provided by you on the credit card payment facility form will be managed in accordance with the Startupvale.com Privacy Statement.
9. Startupvale.com’s terms and conditions for online payments are subject to change at any time. Each transaction will be subject to the specific terms and conditions applicable at the time of the transaction.
Cancellation and Refund Policy.
Note*: No refund will be given to the customer in case of any cancellation of services.
If the work does not start even after payment, the customer will get 50% of the amount back on cancellation of services.
